These Terms and Conditions (the “Terms”) govern your access to and use of zhrdigital.com and any related pages, forms, content, and tools (together, the “Website”). The Website is operated by ZHR Digital (“ZHR Digital,” “we,” “us,” or “our”), a digital marketing and creative agency with offices at 930 Midland Ave, Scarborough, Ontario M1K 4G3, Canada, and in Dhaka, Bangladesh.
By accessing or using the Website, you confirm that you have read, understood, and agreed to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Website.
About These Terms and Our Services
These Terms apply to your use of the Website only. They do not create a client relationship with ZHR Digital and do not, on their own, entitle you to any of our services.
When a business engages us to provide services such as search engine optimization, paid search, social media marketing, web design and development, content and copywriting, video production, AI agent and assistant integration, or website speed optimization (the “Services”), the engagement is governed by a separate written proposal, statement of work, or service agreement signed or accepted by both parties (a “Service Agreement”). If these Terms conflict with a Service Agreement, the Service Agreement prevails for the Services it covers, and these Terms continue to govern your use of the Website.
Eligibility
You must be at least the age of majority in the province or country where you live to use the Website. The Website is intended for business owners, marketers, and other professionals. If you use the Website on behalf of a company or other organization, you confirm that you have authority to bind that organization to these Terms, and “you” includes that organization.
Use of the Website
We grant you a limited, non-exclusive, non-transferable, revocable permission to access and use the Website for your own lawful, non-commercial information purposes, or to evaluate and request our Services.
You agree not to:
- use the Website in any way that violates applicable law, including privacy, anti-spam, intellectual property, and consumer protection laws;
- copy, scrape, harvest, or systematically collect content or data from the Website by automated means without our written permission;
- reproduce, republish, sell, or exploit any part of the Website for commercial purposes without our written permission;
- attempt to gain unauthorized access to the Website, our servers, or any connected systems, or probe, scan, or test their security;
- introduce viruses, malware, or other harmful code, or interfere with the operation, performance, or availability of the Website;
- submit false, misleading, or fraudulent information through any form, or impersonate another person or organization;
- use the Website to send unsolicited commercial messages, or to promote products or services that compete with ours in a way that misuses our content or brand; or
- frame, mirror, or deep-link the Website in a way that suggests an affiliation with or endorsement by ZHR Digital.
Intellectual Property
Our content. The Website and everything on it, including text, articles, blog posts, graphics, logos, layouts, designs, video, audio, images, source code, portfolio materials, and the selection and arrangement of them (the “Content”), is owned by or licensed to ZHR Digital and is protected by Canadian and international copyright, trademark, and other intellectual property laws. Except for the limited permission in Use of the Website, no right, title, or license in the Content is granted to you.
Trademarks. “ZHR Digital,” our logos, and our service names are trademarks or trade names of ZHR Digital, whether or not registered. You may not use them without our prior written consent. Other names and logos on the Website, including client names and third-party platform names, belong to their respective owners.
Permitted sharing. You may share a link to a public page of the Website, and you may quote short excerpts of our blog posts with clear attribution and a link to the original, provided the use is fair, accurate, and not misleading.
Portfolio and client work. Portfolio items, case studies, and testimonials appear on the Website with the permission of the relevant client or under the terms of the applicable Service Agreement. Ownership of work product created for a client is determined by the Service Agreement. Unless that agreement says otherwise, we retain ownership of our pre-existing materials, tools, templates, processes, and know-how.
Your submissions. If you send us information, comments, ideas, or feedback through the Website (“Submissions”), you keep ownership of your Submissions. You grant ZHR Digital a non-exclusive, worldwide, royalty-free license to use, store, and reproduce them as needed to respond to you, evaluate your request, provide Services, and improve the Website. You confirm that you have the right to submit them and that doing so does not infringe anyone else’s rights. We will not publish a testimonial or identify you as a client without your permission.
Infringement complaints. If you believe that content on the Website infringes your copyright or other rights, send a written notice to in**@********al.com that identifies the work, identifies the material and its location on the Website, includes your contact details, and explains the basis of your claim. We will review it promptly and may remove or disable access to the material while we do.
Communications and Form Submissions
When you complete a contact, quote, consultation, appointment, or subscription form, or contact us by email, phone, or messaging app, you agree to provide accurate and current information and you consent to us contacting you to respond to your request.
We send marketing emails and other commercial electronic messages only where we have your consent as required by Canada’s Anti-Spam Legislation (CASL) or another exemption applies. Every marketing message identifies us and includes a working way to unsubscribe, and you may withdraw your consent at any time by using that link or by writing to in**@********al.com. Withdrawing consent to marketing does not affect transactional or service messages related to an existing engagement.
If you contact us through a third-party messaging service such as WhatsApp, that service’s own terms and privacy practices also apply.
Privacy and Cookies
Our collection, use, and disclosure of personal information is described in our Privacy Policy, which forms part of these Terms. The Website may use cookies and similar technologies for functionality, analytics, and advertising measurement. Where required, we will ask for your consent, and you can manage your preferences through your browser settings and any cookie controls we provide.
Information Only, Not Professional Advice
Blog posts, guides, news, and other Content are published for general information about digital marketing and related topics. They are not legal, financial, tax, accounting, medical, immigration, or other regulated professional advice, and they are not a substitute for advice from a qualified professional who knows your circumstances. Search engines, advertising platforms, and social networks change their rules and algorithms often, so Content may become outdated. We make reasonable efforts to keep it accurate but do not promise that it is complete or current.
If you operate in a regulated field such as healthcare, dental care, law, immigration, or financial services, you remain solely responsible for ensuring that your own marketing complies with the rules of your profession and regulator.
No Guarantee of Results
Statements on the Website about past performance, growth, conversions, rankings, traffic, client counts, satisfaction rates, or testimonials describe specific experiences and are not promises or guarantees of what you will achieve. Results depend on many factors outside our control, including your industry, competition, budget, website, offer, seasonality, and changes made by search engines and advertising platforms. Any commitments we make about deliverables, timelines, or performance are only those stated in a signed or accepted Service Agreement.
Third-Party Links and Platforms
The Website may link to or embed third-party websites, videos, calendars, maps, social media profiles, and tools, such as YouTube, Calendly, WhatsApp, Google, and social networks. We do not control these third parties and are not responsible for their content, availability, security, or privacy practices. A link is not an endorsement. Your use of third-party services is governed by their own terms and policies.
Disclaimer of Warranties
The Website and all Content are provided “as is” and “as available.” To the fullest extent permitted by applicable law, ZHR Digital disclaims all warranties, conditions, and representations of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Website will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the Website or its servers are free of viruses or other harmful components.
Limitation of Liability
To the fullest extent permitted by applicable law:
- ZHR Digital and its owners, directors, officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or anticipated savings, arising out of or related to your access to or use of, or inability to use, the Website or the Content, even if we have been told such damage is possible;
- this exclusion applies to all legal theories, including contract, tort (including negligence), statute, or otherwise; and
- our total aggregate liability to you for all claims arising out of or related to the Website will not exceed one hundred Canadian dollars (CAD $100).
These limits apply only to your use of the Website. Liability arising from the Services is governed exclusively by the applicable Service Agreement.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law, including liability for fraud, intentional misconduct, or death or personal injury caused by negligence. Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.
Indemnification
You agree to defend, indemnify, and hold harmless ZHR Digital and its owners, officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising out of or related to your breach of these Terms, your violation of any law or the rights of a third party, or your Submissions. We will give you prompt notice of any claim, and we reserve the right to assume control of the defence of any matter at your expense.
Consumer Rights
The Website is directed at businesses. If you are a consumer and applicable consumer protection legislation, including Ontario’s consumer protection laws, gives you rights that cannot be waived or limited by contract, nothing in these Terms is intended to take those rights away. If a mandatory provision of such legislation conflicts with these Terms, the mandatory provision prevails to the extent of the conflict.
Governing Law and Jurisdiction
These Terms, and any dispute or claim arising out of or related to them or to your use of the Website, are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
You and ZHR Digital irrevocably submit to the exclusive jurisdiction of the courts of the Province of Ontario, sitting in the City of Toronto, for any such dispute, and waive any objection to that venue, including on the ground of forum non conveniens. Either party may seek urgent injunctive or other equitable relief to protect intellectual property or confidential information from any court of competent jurisdiction.
If you access the Website from outside Canada, you are responsible for compliance with your local laws. Nothing in this section removes rights that mandatory law in your place of residence gives you and that cannot be waived.
Informal Dispute Resolution
Before starting a court proceeding, you agree to send us written notice of the dispute at in**@********al.com describing the issue and the outcome you are seeking, and to work with us in good faith for at least thirty (30) days to resolve it. This step does not prevent either party from seeking urgent relief or from starting a proceeding where doing so is necessary to meet a limitation period.
Changes to the Website and to These Terms
We may modify, suspend, or discontinue any part of the Website at any time without notice or liability. We may update these Terms from time to time. The “Last updated” date above shows when they were last revised. Changes take effect when posted. Your continued use of the Website after changes are posted means you accept the revised Terms. Changes do not alter any Service Agreement already in place, which can be amended only as that agreement provides.
Suspension and Termination
We may suspend or restrict your access to the Website at any time, with or without notice, if we reasonably believe that you have breached these Terms or applicable law, or that your use creates risk or liability for us or others. The sections on Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and Jurisdiction, and any other provisions that by their nature should survive will continue to apply after your access ends.
General Provisions
Entire agreement. These Terms, together with the Privacy Policy and any applicable Service Agreement, are the entire agreement between you and ZHR Digital about the Website and replace any earlier understandings about it.
Severability. If a court of competent jurisdiction finds any provision of these Terms invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary and the remaining provisions will stay in effect.
No waiver. Our failure to enforce any right or provision of these Terms is not a waiver of it. A waiver is effective only if it is in writing and signed or sent by us.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our written consent. We may assign these Terms to an affiliate or to a successor to our business.
Force majeure. We are not responsible for any delay or failure to perform caused by events beyond our reasonable control, including internet or utility outages, third-party platform failures, labour disputes, natural disasters, war, or government action.
Electronic agreement. You agree that these Terms, and any notices we give you, may be provided and accepted electronically, and that clicking, submitting a form, or continuing to use the Website is a valid way of agreeing to them under applicable electronic commerce laws.
Notices. We may give notice to you by posting on the Website or by sending a message to the contact details you gave us. You may give notice to us by writing to the address or email below.
Language. These Terms are written in English. The parties have expressly required that these Terms and all related documents be drawn up in English.
Relationship. Nothing in these Terms creates a partnership, joint venture, agency, fiduciary, or employment relationship between you and ZHR Digital.
